IMPORTANT: PLEASE READ CAREFULLY

stkittsandnevis.org is a discovery and listings platform. We do not own, operate, control, manage, endorse, or guarantee any Listing, Listing Owner, business, hotel, restaurant, rental property, seller, buyer, employer, organizer, activity provider, or other third party shown on the Platform. Any interaction, booking, rental, purchase, sale, job application, hiring, attendance, or participation is strictly between you and the relevant third party. You use the Platform at your own risk.

YOUR LEGAL RIGHTS

Nothing in these Terms removes or limits any right or remedy you cannot legally waive under the laws of Saint Christopher and Nevis (or other applicable law). In particular, we do not exclude liability where it would be unlawful to do so (including for fraud), and we do not exclude liability for death or personal injury caused by our negligence.

1) WHO WE ARE (OPERATOR DETAILS)

2) DEFINITIONS

"Platform" means stkittsandnevis.org and any subdomains, pages, features, tools, and services made available by us.

"Listing" means any directory entry, hotel listing, food listing, rental listing, market listing, event listing, activity listing, job listing, advertisement, sponsored placement, or similar content shown on the Platform.

"Listing Owner" means the person or entity responsible for a Listing (e.g., business owner, host, seller, landlord, organizer, employer, or their representative).

"Content" means all text, photos, images, videos, reviews, comments, listings, data, messages, and other material on the Platform.

"User Content" means Content you submit, upload, post, publish, transmit, or otherwise make available through the Platform (including listings, photos, descriptions, reviews, and messages).

"User" means anyone who accesses or uses the Platform, including visitors and account holders.

3) ACCEPTANCE OF THESE TERMS

3.1 By accessing or using the Platform, you agree to these Terms.

3.2 If you do not agree, do not use the Platform.

3.3 If you use the Platform for a business or on behalf of an entity, you confirm you have authority to bind that entity, and "you" includes that entity.

4) WHAT THE PLATFORM IS (AND IS NOT)

4.1 What it is: a local discovery and listings platform for St Kitts & Nevis where Users may browse, search, filter, post Listings, contact Listing Owners, and submit reviews (where enabled).

4.2 What it is not: We are not a party to any transaction between Users and Listing Owners. We are not a real estate broker/agent, travel agent, booking agent, employer, employment agency, recruiter, escrow provider, delivery service, payment processor, financial institution, or insurer.

4.3 No endorsement: A Listing appearing on the Platform does not mean we endorse, certify, verify, or guarantee the Listing Owner or the Listing.

4.4 No professional advice: Content on the Platform is provided for general information only and is not legal, tax, financial, medical, safety, or other professional advice. You must obtain independent advice and conduct your own checks.

5) ELIGIBILITY, INTERNATIONAL USE, AND ACCOUNTS

5.1 Minimum age: You must be at least 18 years old to create an account or post Listings.

5.2 No guaranteed age verification: We do not guarantee we can verify a User's age. If we learn you are under 18, we may suspend or terminate your account and remove related User Content.

5.3 International users: The Platform is based in Saint Christopher and Nevis. If you access the Platform from outside Saint Christopher and Nevis, you do so at your own initiative and are responsible for compliance with your local laws (including consumer protection, privacy/data protection, and online conduct laws). Your non-waivable rights as a consumer (if any) under applicable law remain unaffected.

5.4 Accurate info: You agree to provide accurate information and keep it updated.

5.5 Security: You are responsible for safeguarding your login credentials and all activity under your account.

5.6 We may act to protect the Platform: We may suspend, restrict, or terminate access if we reasonably believe it is necessary to protect Users, the Platform, or comply with law.

6) USER DUE DILIGENCE (YOU ARE RESPONSIBLE)

6.1 You understand and agree:

(a) We do not verify identity, licensing, credentials, ownership, authority, insurance, legality, pricing, availability, location, safety, or accuracy of Listings.

(b) Listings may be inaccurate, outdated, misleading, fraudulent, or unlawful.

(c) You are solely responsible for checking and confirming any Listing before you pay, meet, book, rent, purchase, sell, apply, attend, or participate.

(d) If you suspect fraud, misrepresentation, or unsafe activity, do not proceed and report it to us.

6.2 Section-specific risks (non-exhaustive):

(a) MARKET (buy/sell): You assume all risk of scams, counterfeit goods, non-delivery, unsafe meetups, payment fraud, chargebacks, and disputes. We do not handle payments or hold funds.

(b) RENTALS (short/long term): You assume all risk relating to deposits, leases, inspections, keys/access, habitability, utilities, safety, fraud, and landlord/tenant disputes. Verify ownership/authority and inspect in person before paying deposits or signing.

(c) HOTELS/ACCOMMODATION: Rates, availability, amenities, and policies can change or be incorrect. We are not responsible for bookings, cancellations, refunds, or service quality.

(d) ACTIVITIES/EVENTS: Activities and events can involve inherent risks. You are responsible for safety, fitness, weather, equipment, suitability, and following provider instructions. Participation is at your own risk.

(e) FOOD/RESTAURANTS: Menus, prices, allergens, hours, and food safety practices can change. Confirm directly with the provider. You are responsible for dietary/allergen decisions.

(f) JOBS: Job listings may be inaccurate or fraudulent. We do not vet employers. Never pay money to secure a job.

6.3 Insurance: We do not provide insurance coverage of any kind. You are solely responsible for obtaining appropriate insurance for rentals, activities, events, purchases/sales, and other transactions and interactions.

7) USER INTERACTIONS AND OFF-PLATFORM COMMUNICATION

7.1 The Platform may allow contacting Listing Owners via platform messaging and/or via phone/email/WhatsApp shown in Listings.

7.2 You are solely responsible for your communications, meetings, and transactions, whether on or off the Platform.

7.3 We are not responsible for any loss, harm, fraud, threats, harassment, disputes, or outcomes arising from user-to-user interactions.

8) LISTING RULES (FOR PEOPLE WHO POST LISTINGS)

8.1 Authority to post: If you post a Listing, you confirm you have the right/authority to post it and to offer what is described.

8.2 Compliance with law (permits, licences, taxes, zoning): You are solely responsible for ensuring your Listing and your underlying activity comply with all applicable laws, regulations, permits, licences, inspection requirements, registrations, and tax obligations in Saint Christopher and Nevis (and any other jurisdiction that applies). This includes (without limitation), where relevant: tourism/accommodation requirements, business licensing/registration, health and safety requirements, employment requirements, advertising/consumer protection rules, and tax obligations (including VAT or any other applicable taxes/levies). We do not verify compliance and we do not provide legal or tax advice.

8.3 Rental/accommodation attestation (extra protection): If you post a rental/accommodation Listing, you represent and warrant that:

(a) you are the owner or duly authorized agent/manager; and

(b) you have obtained and will maintain any required approvals, licences, registrations, inspections, and tax registrations for operating and advertising that accommodation.

We may (but are not required to) request supporting documentation, and we may remove or restrict the Listing if you fail to provide it or if we reasonably believe the Listing may be unlawful, misleading, or unsafe.

8.4 Accuracy & updates: You must ensure your Listing is accurate, not misleading, and kept up to date (price, availability, terms, location, photos, contact info, requirements, restrictions, and any material changes).

8.5 No prohibited listings/content: You may not list or promote illegal goods/services, stolen property, fraud, scams, hate/harassment content, exploitative content, or anything that violates the rights of others.

8.6 No discrimination: You must comply with applicable non-discrimination laws. We may remove Listings that are discriminatory or unlawful.

9) REVIEWS

9.1 Reviews are user opinions. We do not verify them.

9.2 We may (but are not required to) moderate, reject, remove, or delay publishing reviews.

9.3 Reviews do not represent our views and are not guarantees of quality or legitimacy.

10) REPORTING, MODERATION, AND REMOVALS

10.1 "Report Listing" tools may be provided. We encourage you to report suspicious or unlawful Listings.

10.2 We may investigate and take action, but we do not guarantee removal of any Content or action against any User.

10.3 We may remove or restrict Content and accounts where we reasonably believe it is necessary for safety, policy, legal, or operational reasons.

11) CLAIMED / VERIFIED / FEATURED / SPONSORED INDICATORS

11.1 Claimed: A listing "claimed" by an owner means someone asserted control over it (e.g., to edit details). It is not a guarantee of legitimacy.

11.2 Verified: If we display a "verified" label, it may mean we performed limited checks (for example, verifying an email address, phone number, or receiving documents). Verification is not a certification, endorsement, guarantee of identity, ownership, licensing, legality, safety, quality, or accuracy.

11.3 Featured/Sponsored/Promoted: "Featured", "sponsored", "promoted", or similar labels may reflect paid placement and/or internal criteria.

11.4 No guarantee: Any badge, label, or placement is not a guarantee by us.

12) ADVERTISEMENTS AND THIRD-PARTY LINKS

12.1 The Platform may show ads and third-party links.

12.2 We are not responsible for third-party websites, products, services, offers, or content. Use them at your own risk.

12.3 Any dealings with third parties are solely between you and them.

13) USER CONTENT: OWNERSHIP, LICENSE, AND RESPONSIBILITY

13.1 You are responsible for your User Content.

13.2 You represent and warrant that your User Content:

(a) is not unlawful, misleading, or deceptive;

(b) does not infringe intellectual property, privacy, or other rights;

(c) does not contain malware or harmful code.

13.3 License to us: You grant us a worldwide, royalty-free, non-exclusive, sublicensable license to host, store, reproduce, format, display, publish, distribute, and use your User Content to operate, improve, and promote the Platform.

13.4 Removal: You can remove your User Content where the Platform provides tools, but cached/archived copies may remain for a reasonable time for backups, security, legal compliance, or dispute handling.

14) PROHIBITED CONDUCT (INCLUDING SCRAPING)

You agree you will NOT:

14.1 Use the Platform for unlawful activity, fraud, impersonation, harassment, or harm.

14.2 Attempt to bypass security, access controls, or rate limits; probe, scan, or test vulnerabilities; introduce malware; or interfere with Platform operation.

14.3 Scrape / harvest / automate access:

(a) use bots, spiders, scrapers, crawlers, data-mining tools, or automated scripts to access or extract Content or data;

(b) systematically copy, download, store, reproduce, mirror, or republish Platform Content;

(c) use Platform Content/data to create or enhance a competing directory, marketplace, listings site, database, comparison product, or similar service;

(d) use Platform Content/data to train or improve AI/ML systems, datasets, or models without our prior written permission;

(e) circumvent robots.txt, CAPTCHAs, IP blocks, access restrictions, or other protections.

14.4 Use any Content except for normal browsing and your own legitimate posting/management actions as intended by the Platform.

We may block access, suspend accounts, restrict IPs, and take legal action for violations. You acknowledge that unauthorized data extraction can cause harm that may justify injunctive relief.

15) INTELLECTUAL PROPERTY

15.1 The Platform (including design, branding, and compilation of Content) is owned by or licensed to us and protected by applicable intellectual property laws.

15.2 We grant you a limited, revocable, non-transferable license to use the Platform for its intended purpose, subject to these Terms.

15.3 Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from the Platform or its Content.

16) NOTICE-AND-TAKEDOWN / UNLAWFUL CONTENT REPORTING

16.1 If you believe Content is unlawful or infringes rights, contact us at [email protected] with:

(a) your full name and contact details;

(b) a description of the unlawful content or the right allegedly infringed;

(c) the exact URL(s) or sufficient identification of the material;

(d) the action you want us to take (e.g., remove/disable);

(e) a statement you are acting in good faith; and

(f) a statement that the information is true and correct to the best of your knowledge.

16.2 We may request additional information and may remove/disable access where appropriate.

17) PRIVACY, COOKIES, AND ANALYTICS

17.1 Our collection and use of personal data is described in our Privacy Policy: https://stkittsandnevis.org/privacy.php.

17.2 You agree we may process data to operate, secure, maintain, and improve the Platform, prevent fraud, enforce these Terms, and comply with legal obligations.

17.3 The Platform may use cookies, similar technologies, server logs, and limited first-party measurement tools to understand website traffic, usage patterns, and performance, and to measure how the Platform is used.

17.4 These tools may collect information such as IP address, browser and device details, pages viewed, referring pages, approximate location derived from IP, and interactions with the Platform. Details about these technologies, your choices, and how we use this information are described in the Privacy Policy.

18) PLATFORM AVAILABILITY

18.1 The Platform is provided "AS IS" and "AS AVAILABLE."

18.2 We do not guarantee uninterrupted availability, error-free operation, or that the Platform will always be accessible.

18.3 We may modify, suspend, or discontinue any part of the Platform at any time for maintenance, security, or business reasons.

19) DISCLAIMERS (NO WARRANTIES)

19.1 To the maximum extent permitted by law, we disclaim warranties and conditions, express or implied, including accuracy, completeness, fitness for purpose, merchantability, non-infringement, and availability.

19.2 We do not warrant that:

(a) Listings, reviews, or Content are accurate, current, lawful, safe, or legitimate;

(b) you will find a suitable Listing, buyer, seller, tenant, job, employee, or service provider;

(c) messages will be delivered or received without delay or error.

20) LIMITATION OF LIABILITY (STRONG, BUT LAWFUL)

20.1 To the maximum extent permitted by law, we are not liable for:

(a) any loss arising from Listings, User Content, reviews, or third-party content;

(b) any transaction or interaction between Users and Listing Owners;

(c) scams, fraud, misrepresentation, counterfeit goods, unsafe meetings, cancellations, disputes, discrimination by third parties, or illegal conduct by third parties;

(d) indirect, incidental, special, consequential, exemplary, or punitive damages;

(e) lost profits, revenue, business, goodwill, data, or opportunity.

20.2 Liability cap (aggregate): To the maximum extent permitted by law, our total liability for all claims in any 12-month period is limited to EC$500. This cap applies only to the extent permitted by law and does not apply to liability that cannot lawfully be limited (see 20.3).

20.3 Non-excludable liability: Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, and liability for death or personal injury caused by our negligence.

21) USER DISPUTES RELEASE (BETWEEN USERS / LISTING OWNERS)

To the maximum extent permitted by law, you release us from claims arising out of disputes between you and any other User or Listing Owner, including disputes about rentals, purchases/sales, bookings, jobs, events, or activities.

22) INDEMNITY (LIMITED TO YOUR FAULT)

To the maximum extent permitted by law, you agree to indemnify and hold harmless us (and our staff/contractors) from third-party claims, damages, and expenses (including reasonable legal fees) arising out of:

(a) your User Content;

(b) your breach of these Terms;

(c) your unlawful acts or omissions; or

(d) your interactions/transactions with third parties through or related to the Platform.

This indemnity does not apply to the extent a claim is caused by our own negligence, fraud, or willful misconduct.

23) SUSPENSION / TERMINATION

23.1 We may suspend or terminate your account or access if you breach these Terms, misuse the Platform, create risk to others, or where we must do so to comply with law.

23.2 Where reasonably practical, we will provide notice; however, we may act immediately where needed for safety, security, fraud prevention, or legal compliance.

23.3 We are not liable for losses resulting from suspension/termination, except where liability cannot lawfully be excluded.

24) FEES (FREE PLATFORM)

24.1 The Platform is currently free to browse and use, including account creation and posting Listings (unless we clearly state otherwise for a specific optional feature in the future).

24.2 If we introduce paid features (such as promoted placements), we will present the applicable terms at the time of purchase.

25) FORCE MAJEURE

We are not responsible for delays, interruptions, failures, or unavailability caused by events beyond our reasonable control, including but not limited to hurricanes, tropical storms, floods, earthquakes, fires, pandemics, power or telecommunications failures, internet outages, strikes, civil disturbances, or governmental actions.

26) INFORMAL DISPUTE RESOLUTION

26.1 Before starting any court proceeding against us, you agree to first contact us at [email protected] and provide a brief written description of the issue and the relief you seek.

26.2 We will both attempt in good faith to resolve the dispute informally for at least 30 days after we receive your notice, unless urgent injunctive relief is needed (for example, for unauthorized access/scraping or intellectual property misuse).

27) GOVERNING LAW AND COURTS

27.1 These Terms are governed by the laws of Saint Christopher and Nevis.

27.2 Subject to any mandatory legal provisions, you agree the courts of Saint Christopher and Nevis have exclusive jurisdiction over disputes arising out of or relating to the Platform or these Terms.

28) CHANGES TO THESE TERMS

28.1 We may update these Terms by posting a new version and updating the "Last Updated" date.

28.2 If we make material changes, we will take reasonable steps to provide notice (e.g., notice on the Platform or by email if you have an account).

28.3 Continued use after changes take effect means you accept the updated Terms. If you do not agree, stop using the Platform.

29) GENERAL TERMS

29.1 Severability: If a provision is invalid/unenforceable, the rest remains in effect.

29.2 No waiver: Failure to enforce a right is not a waiver.

29.3 Assignment: You may not assign these Terms without our consent. We may assign these Terms as part of a business transfer.

29.4 Entire agreement: These Terms plus any policies linked (Privacy Policy, etc.) form the entire agreement regarding the Platform.
